Terms of Service

1. Agreement

By accessing or using Bookkipa ("Service"), operated by Bookkipa Inc. ("we", "us", "our"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms.

2. Service description

Bookkipa is a cloud-based bookkeeping platform that provides transaction categorization, general ledger management, and financial statement generation for cash-basis businesses. The Service is provided for informational and record-keeping purposes only and does not constitute accounting, tax, legal, or financial advice.

3. Account registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account and for all activities that occur under your account. Notify us immediately at security@bookkipa.com of any unauthorized access.

4. Subscriptions and payment

Paid features require a subscription. Subscriptions are billed in advance on a monthly or annual basis. AI credit packs are billed at the time of purchase. All prices are in USD. Taxes may apply based on your location. You may cancel at any time; cancellation takes effect at the end of the current billing period.

AI credits are consumed as described in our pricing documentation. Unused monthly credits expire at the end of the billing period. Credit pack credits expire 24 months from purchase. Credits are non-refundable except as required by law.

5. Your data

You retain all rights to the financial data you upload or connect to the Service. You grant us a license to process that data to provide the Service. We do not sell your financial data to third parties. Upon cancellation or account deletion, you can export all your data in machine-readable format at any time.

6. Acceptable use

You may not use the Service to: (a) violate any applicable law or regulation; (b) upload malicious files or code; (c) attempt to gain unauthorized access to the Service or other accounts; (d) reverse engineer the Service; (e) use the Service in a way that disrupts other users.

7. Service availability

We aim for high availability but do not guarantee uninterrupted access. We may perform maintenance with reasonable notice. We are not liable for losses caused by service unavailability beyond our reasonable control.

8. Disclaimer of warranties

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the financial statements or categorizations produced by the Service are error-free or suitable for any particular purpose including tax filing.

9. Limitation of liability

To the maximum extent permitted by law, Bookkipa Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claims arising under these terms shall not exceed the amounts paid by you to us in the 12 months preceding the claim.

10. Changes to these terms

We may update these terms from time to time. We will notify you of material changes by email or by posting a notice in the Service. Your continued use after the effective date constitutes acceptance of the updated terms.

11. Governing law

These terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
